I. These General Terms and Conditions of Sale and Provision of Services, hereinafter referred to as the GTC, prepared by HYDRO ZNPHS Spółka z ograniczoną odpowiedzialnością, with its registered office in Bielsko-Biała at ul. Strażacka 60, 43-382 Bielsko-Biała, entered into the National Court Register by the District Court in Bielsko-Biała, 8th Commercial Division of the National Court Register under KRS number 0000151095, NIP: 5470170044, REGON: 008093410, apply to all sale transactions or provision of services with Customers, meaning contractors and business entities, who are not acting as consumers in this respect, where HYDRO ZNPHS acts as the Supplier or Seller.

The GTC constitute an integral part of all offers submitted by the Supplier and all Agreements concluded by the Supplier, unless otherwise individually agreed in writing with a specific Customer. The condition for concluding a supply Agreement is an order placed by the Customer and accepted by the Supplier, containing a detailed specification of the ordered goods, products or services, including the catalogue code of the goods, a detailed description of the goods, and, in the case of special applications, the conditions in which the goods are to be used, as well as their quantity, delivery date, payment terms, delivery terms, place of delivery, and confirmation of acceptance of the order for execution by the Supplier.

Placing an order by the Customer means acceptance of these GTC without reservations.

II. DEFINITIONS AND INTERPRETATION

For the purposes of these GTC, the following terms shall have the meanings assigned below:

“Supplier” – Hydro ZNPHS Sp. z o.o.

“Customer” – a Contractor, meaning a business entity not acting as a consumer in this respect, with whom the Supplier has concluded a purchase-sale transaction documented by an invoice or receipt.

“B2B Platform” – any online platform of Hydro ZNPHS through which an Agreement is concluded; in such a case, the GTC constitute an additional document to the regulations of the relevant Online Catalogue through which the Agreement was concluded.

“Consumer” – (i) a natural person concluding an agreement not directly related to their business or professional activity, and (ii) a natural person concluding an agreement directly related to their business activity, if the content of that agreement shows that it is not of a professional nature for that person, in particular due to the subject of the business activity carried out by that person.

“Parties” – jointly means the Customer and Hydro ZNPHS.

“Goods” – movable items being the subject of sale made by Hydro ZNPHS to the Customer.

“Service” – a service provided by Hydro ZNPHS to the Customer under any Agreement.

III. Form of Sale

3.1. Direct retail and wholesale sales are carried out at the company’s branches: Bielsko-Biała, ul. Strażacka 60, Świt 31, Świt 37.

3.2. Sale of goods with delivery by forwarding companies.

3.3. Sale via the B2B platform www.b2b.hydro.com.pl.

IV. Offers and Orders

4.1. Requests for quotation are accepted in written or oral form.

4.2. An offer contains: a list of offered goods, quantity of goods, net price, payment terms, payment deadline, delivery date, and offer validity date. The Offeror reserves the right to sell the offered goods until the Customer’s order is received.

4.3. An offer containing special prices is valid only if a one-time order is placed for all offered products in the quantities specified.

4.4. Direct sale orders are accepted in oral or written form. They do not need to be preceded by a request for quotation.

4.5. Mail-order sale orders are accepted by telephone or in writing, via e-mail, through the B2B platform, or by post to the addresses of company branches, in accordance with the following provisions. A person placing an order electronically receives confirmation of receipt of the order. Such confirmation does not constitute binding acceptance of the order.

a) The Customer’s use of the option to place an order by telephone involves the necessity to bear the costs of the telephone connection. These charges are not collected by the Seller, but by the provider of publicly available telecommunications services within the meaning of the Act of 16 July 2004 – Telecommunications Law, consolidated text Journal of Laws of 2014, item 243, whose services are used by the Customer. The cost of calls is charged according to the tariffs of the telecommunications operator used by the Customer.

4.6. In order to conclude an agreement, the Customer sends an order for the purchase of goods, products or services in the form specified in point II.4 of the GTC, specifying at least the detailed specification of the ordered goods, products or services, including the catalogue code of the goods, detailed description of the goods, and, in the case of special applications, the conditions in which the goods are to be used, with reference to the index or name of the goods based on the current Supplier catalogue or the offer received from the Supplier, their quantity, delivery date, payment terms, delivery terms, and place of delivery.

4.7. If the order concerns a previously submitted offer, the order must include the number of that offer. Meeting the above requirements will allow the order to be executed accurately and quickly. If the offer number is not referenced, the Supplier shall not be liable for any price discrepancies on the VAT invoice, lack of availability of goods, or discrepancies in the specific parameters of the goods specified in the original order.

4.8. If the payment terms specify “prepayment”, failure to make payment within 7 days entitles the Supplier to cancel the order.

4.9. The Supplier shall not be liable for any errors or omissions made by the Customer in the content of the order, nor for the Customer’s incorrect selection of ordered goods or services.

4.10. Any technical advice provided by the Supplier is for information purposes only and does not give rise to civil liability on the part of the Supplier. Original certificates for the goods are available for inspection at the Supplier’s premises.

V. Delivery Dates and Terms

5.1. The Supplier is obliged to deliver the goods in accordance with the conditions specified in the order confirmation, i.e. delivery date and place, quantity, type of goods, and price.

5.2. All benefits and burdens related to the goods, as well as the risk of their accidental loss or damage, pass to the Customer upon release of the Goods from the store or warehouse.

5.3. The value of the goods does not include delivery costs.

5.4. Goods are delivered to the address indicated in the order by forwarding companies at the Customer’s expense, unless the Supplier agrees in the order confirmation to cover the shipping costs.

5.5. The goods remain the property of the Supplier until the Customer pays the full price for the ordered and released goods, as a transfer of ownership for security purposes.

5.6. Delivery dates for ordered goods are specified in the order acceptance confirmation. The Supplier reserves the right to change the delivery date due to circumstances beyond its control, in particular: failure or delay in performing obligations on the Customer’s side, including providing the Supplier with service specifications, construction drawings, quality certificates, etc. necessary to perform or execute the order; change or extension of the delivery time for materials necessary to perform the Customer’s order; changes in the Customer’s instructions regarding transport; or the need for the Supplier to agree the details of the order with the Customer. In the cases described in the preceding sentence, the Supplier shall not bear any liability towards the Customer or its contractors. The Supplier is obliged to immediately inform the Customer of the occurrence of the above circumstances and indicate a new delivery date.

5.7. Partial deliveries are permitted, provided that the Customer has previously consented to them in written or oral form.

5.8. If the Customer specified the type of collection of goods in the order as “personal collection”, the Customer should collect the goods within 7 days from the date of confirmation of order acceptance. If the goods are not collected, the order is cancelled.

5.9. The Customer acknowledges that in the case of personal collection using the Customer’s own transport, the Seller shall not bear the risk of defects in the goods arising during transport, in particular caused by transport using a means of transport not properly adapted to the type of goods. The Customer also acknowledges that it will be required to check the goods quantitatively and qualitatively before loading at the place of collection.

5.10. If the payment terms specify “prepayment”, the delivery execution date may be extended by the period of delay in making payment. The payment date shall be deemed to be the date on which the Supplier’s bank account is credited. Failure to pay the pro forma invoice within 7 days of its issue may result in cancellation of the order.

5.11. If the payment terms specify “cash on delivery”, the Customer who does not collect the shipment shall be charged the costs of dispatch and return of the shipment to the Supplier.

5.12. The Customer is obliged to check the received goods at the time of receipt of the shipment. In the case of deliveries carried out by transport companies, a delivery complaint concerning damaged shipment or quantity shortages must be documented by a damage report prepared by the Customer immediately upon receipt of the parcel in the presence of the courier delivering the shipment, on the carrier’s document.

If the goods are incorrect or the quantity does not comply with the waybills or specifications resulting from the placed order, the Customer is obliged to notify the Supplier within 4 business days from the date of receipt of the goods, before any further use or processing.

The same applies to any visible damage or defect that can be identified without additional tests or measurements.

Damaged or defective goods should be returned to the Supplier within 2 business days from the notification, but only after agreeing the form of shipment with the Supplier. If the Customer fails to comply with the above obligations, the delivery shall be deemed accepted without reservations. Unless otherwise agreed, the returned goods shall be replaced with defect-free goods or their defects shall be removed within 30 days.

5.13. The Supplier shall not be liable for delays in delivery of goods caused by the forwarding company or resulting from reasons independent of the Supplier and attributable to third parties. The Supplier shall also not be liable for the Customer’s losses related to business operations, loss of profit, loss of time, lost earnings, or other indirect losses.

5.14. In the case of certain categories of Goods, in particular chemical materials, flammable materials and batteries, the Supplier may refuse to perform delivery. In such a case, only personal collection shall be possible.

5.15. Any person present at the place agreed as appropriate for the release of the Goods or provision of the Service, and indicating that they act on behalf of the Customer, shall be deemed authorised to collect the Goods or receive the Service. The Supplier does not verify the authorisation of such person.

5.16. In Agreements in which the Supplier is a Party and which are concluded with business customers, statutory warranty for defects is excluded.

VI. Delivery Cost

6.1. The delivery costs of the Product are determined individually depending on the selected delivery method and payment method. Information on delivery costs is provided to the Customer during the execution of the Order.

VII. Permits and Administrative Decisions

The Customer is obliged to obtain, at its own expense, all permits or other administrative decisions required by law for the delivery, transport or use of the goods in accordance with their intended purpose. Furthermore, the Customer shall cover all additional costs or expenses incurred by the Supplier in connection with the Customer’s breach of the GTC, e.g. additional transport or storage costs charged by courier companies for uncollected goods.

VIII. Payments and Prices

8.1. The payment deadline and form of payment are agreed individually for each Customer. The payment deadline is calculated from the date of issue of the VAT invoice.

8.2. The decision to allow payment by bank transfer is considered for Customers who have previously made purchases from the Supplier and have sent an e-mail request for payment by bank transfer and for granting trade credit, containing full company details: name, address, tax identification number, and contact telephone number.

8.3. If payment is made by bank transfer, the payment date shall be deemed to be the date on which the Supplier’s bank account is credited.

8.4. Cheques and promissory notes are not accepted without the Supplier’s written consent.

8.5. The basis for determining sale prices is the current sale price list or an offer submitted by the Supplier in response to the Customer’s request.

8.6. All data contained in brochures, catalogues, leaflets, advertisements, price lists and other materials are for information and reference purposes only and do not constitute an offer within the meaning of the Act of 23 April 1964 – Civil Code, Journal of Laws of 1964 No. 16, item 93, as amended.

8.7. Prices in offers are net prices. Value-added tax is added to net prices at the rate applicable under current law.

8.8. If the offer is priced in a currency other than PLN, the basis for settlement of the transaction is the average exchange rate announced for that currency by the National Bank of Poland on the day preceding the date of issue of the VAT invoice. In the case of settlements in the form of prepayment, the basis for settlement of the transaction is the average exchange rate announced for that currency by the National Bank of Poland on the day preceding the date of issue of the pro forma invoice.

8.9. The Supplier reserves the right to change prices in cases justified by changes in market conditions, inflation rate, or increases in prices of goods, raw materials and materials.

8.10. The right reserved in point 8.9 does not apply to prices stated by the Seller in time-limited sales offers.

8.11. In the event of overdue payments or exceeding the trade credit limit by the Customer, order execution may be suspended until the relevant payments are made.

8.12. In the event of payment arrears, the Supplier has the right to:

  • suspend the execution of already accepted orders;

  • refuse to release completed orders;

  • suspend the Customer’s right to payment by bank transfer and withdraw granted discounts;

  • suspend the Customer’s rights arising from the granted trade credit.

8.13. Trade credit management policy.

Trade Credit and Limit: The Seller may grant the Buyer trade credit, understood as the right to make payments on a deferred payment basis. The amount of the credit Limit and the length of the payment term are determined individually based on an analysis of payment history and assessment of the Buyer’s credit risk.

Credit Block: In the event of any payment arrears, the Seller reserves the right to apply an automatic Credit Block. The block consists in suspending the execution of new orders with deferred payment terms.

Execution of orders during the Block: During the Credit Block period, execution of new orders is possible only on the condition that the Buyer makes a 100% prepayment for the new delivery.

Reminder and debt collection procedure: In the event of failure to meet payment deadlines, the Seller applies a standardised amicable and legal debt collection process:

  • Stages 1–3, days 3–17 after the due date: systematic reminders about arrears sent electronically.

  • Stage 4, day 24 after the due date: activation of the full Credit Block and sending of a formal demand for payment.

  • Stage 5, day 30 after the due date: referral of the case to external amicable debt collection by a law firm. The Buyer is informed of the risk of initiating the “bad debt relief” procedure and referring the case to court.

  • Stage 6, day 60 after the due date: initiation of hard debt collection or referral of the case to court and enforcement proceedings.

Bad debt relief: After 90 days from the invoice payment due date, the Seller, in accordance with applicable tax regulations, recognises the receivable as a “Bad Debt” and reserves the right to correct VAT, meaning to use bad debt relief. This does not release the Buyer from the obligation to pay the principal amount together with interest.

Restoration of credit terms: Removal of the Credit Block and return to order execution with deferred payment terms is possible only after the Buyer fully settles all overdue receivables, including principal, any interest and debt collection costs.

Seller’s right: The Seller reserves the right to unilaterally change the amount of the credit Limit or withdraw the right to deferred payments in the event of deterioration of the Buyer’s financial standing.

IX. Complaints

9.1. The basis for initiating the complaint procedure is an immediate written complaint notification. In the case of business customers, the deadline is 24 hours from the moment the defect is discovered. In the case of natural persons, the deadline is 7 days from the moment the defect is discovered. The Customer is obliged to notify the Supplier and attach a Complaint Report completed with all required information.

9.2. Collection of the complained-about Goods is arranged by the Supplier after prior agreement of the place and date of collection. The Customer is responsible for properly preparing the complained-about Goods for transport. A copy of the Complaint Report must be attached to the shipment.

9.3. The Supplier’s response to the complaint regarding the method of handling it should be provided within 3 business days, counted from the day following receipt of the complained-about product together with the properly completed Complaint Report. If detailed tests, expert opinions or repair of the goods at the Manufacturer’s premises are required, the complaint may be considered within up to 90 days, provided that the Customer is informed of this fact before the expiry of 14 days.

9.4. The Customer will be informed of the result of the considered complaint in writing, orally or in another manner agreed by the Parties, by an authorised employee of the Supplier.

9.5. The Customer is not entitled to remove defects at the Supplier’s expense on its own or through third parties. Any actions referred to in the preceding sentence result in the loss of guarantee and statutory warranty rights, if granted.

9.6. The Supplier shall not bear any liability for agreements binding the Customer with its clients, subcontractors or other buyers. The Supplier shall not be liable for losses, lost benefits, unreimbursed indirect costs or overhead costs, nor for any amount exceeding the total value of the Agreement binding the Parties.

9.7. Bars and tubes showing signs of processing are not subject to complaint. The goods must be checked before processing.

9.8. Submitting a complaint does not entitle the Customer to withhold payment for the goods or any part thereof. The Supplier has the right to suspend fulfilment of the Customer’s complaint-related claims until the Customer settles all overdue obligations.

9.9. If the complaint is rejected, the Customer is obliged to collect the complained-about goods within 14 days. After this period, uncollected goods will be disposed of at the Customer’s expense.

9.10. All costs related to an unjustified complaint shall be borne by the Customer.

X. Guarantee

10.1. The Supplier ensures that, in its business activity, it relies on its experience and that all technical advice, as well as offered products and provided services, are performed with due care, subject to point 4.9 of the GTC.

10.2. The Supplier grants a guarantee for its goods and products for a period of 24 months from the date of receipt of the goods, provided that the goods are used and stored properly and in a manner consistent with their intended purpose, technical properties, manufacturer’s recommendations or operating instructions. The product groups described in point IX.9.3 are excluded from the 24-month guarantee.

10.3. The Supplier grants a 12-month guarantee for goods and products from the following groups:

  • own production: power units, cylinders, filter units;

  • steel bars and tubes;

  • TECHMAFLEX machines and goods.

10.4. The Supplier shall not be liable for consequences resulting from improper use or use inconsistent with the intended purpose of the goods, nor for their operation in special conditions that were not indicated in the order.

10.5. The Supplier shall not be liable for natural wear and tear of goods resulting from their proper operation. A condition for the Supplier’s liability for defects in the Goods is the proper protection of the Goods by the Customer against surface defects, in particular through correct storage and transport. The Customer is also obliged to use protective measures for the goods so that identification and objective assessment of reported defects is possible at all times.

10.6. In the case of goods, machines and devices constructed or modified according to the Customer’s guidelines, the Supplier’s liability is limited to manufacturing such goods or making such modifications that meet those guidelines and comply with measurements and assembly parameters, excluding liability for materials supplied by the Customer and their properties. The Supplier does not grant any guarantee of conformity for the above-mentioned products constructed or modified at the Customer’s request and in accordance with the Customer’s concept.

10.7. Loss of guarantee claims and claims for defects is caused by the following actions:

  • improper assembly;

  • improper operation;

  • exceeding technical parameters specified in relevant catalogue cards or offers;

  • use of improper media;

  • interference with the structure without the Supplier’s written consent;

  • interference by third parties with the substance of goods, machines or devices, including attempts at repair, modification, etc.;

  • failure to observe the deadlines specified in point 9.2 above.

10.8. In the case of business customers, statutory warranty for defects is excluded.

XI. Return of Goods by Customers Who Are Not Consumers

11.1. Hydro ZNPHS Sp. z o.o. allows the possibility of returning a new product, showing no signs of use, purchased by Customers who are not consumers, in particular in the event of an error by the Customer in the order consisting in the purchase of an incorrect product or incorrect quantity, under the rules specified in this chapter, including in particular those set out in paragraph 7.

11.2. The Buyer has the right to submit a request for return of goods within a final deadline of 30 calendar days from the date of purchase, understood as the date of issue of the VAT invoice. Requests concerning goods purchased after this period will not be considered.

Hydro ZNPHS Sp. z o.o. reserves the right to refuse to consider a return request submitted after this deadline.

11.5. The Customer may return goods only if the Supplier has previously accepted the possibility of return.

11.6. In order to process a return request, it is required to send an e-mail to [email protected] with a completed return form containing all necessary information: sales document number, goods code, quantity to be returned, and reason for return.

11.7. Hydro ZNPHS Sp. z o.o. reserves the right to charge the Customer with costs related to handling returns, both if they are accepted and if they are not accepted.

11.8. Detailed rules for returning Products by Customers who are not consumers are specified in the regulations available on the store’s website at b2b.hydro.com.pl/regulamin/.

The provisions concerning consumers contained in Articles 3851–3853 apply to a natural person concluding an agreement directly related to their business activity, if the content of that agreement shows that it is not of a professional nature for that person, in particular due to the subject of the business activity carried out by that person, made available on the basis of the provisions on the Central Registration and Information on Business.

Other entrepreneurs conducting business activity, for example in the form of a limited liability company, will not be able to exercise this right.
